Distance Sales Agreement

1. Parties and Service Provider

This Voyest Service Agreement is entered into between:

hereinafter referred to as “Voyest” or the “Company”,

and any natural or legal person who creates an account, submits a ride request, makes a reservation or uses the services through the Voyest mobile application or website.

The person who creates the reservation shall hereinafter be referred to as the “User”, and the person who actually uses the transportation service shall be referred to as the “Passenger”. The User and the Passenger may be the same person or different persons.

2. Subject Matter of the Agreement

The purpose of this Agreement is to regulate the requesting, reservation and performance of scheduled transfer and hourly chauffeured vehicle services offered through Voyest, as well as the respective rights and obligations of the parties.

Voyest is not an on-demand taxi-hailing service, nor is it a service in which fares are calculated using a taximeter. Services are planned according to the date, time, pickup location, destination, service duration and vehicle class selected in advance by the User.

Detailed rules concerning payment, pre-authorization, cancellation, no-show and refund procedures are set out in the Service Delivery, Cancellation and Refund Conditions, which form an integral part of this Agreement.

3. Services Offered

The following services may be offered through Voyest:

3.1. Transfer Service

A transfer service is a scheduled passenger transportation service performed from the pickup location selected by the User to the specified destination on the selected date and at the selected time.

The base price of the transfer service is determined before the reservation based on the pickup and destination locations, vehicle class, journey date and time, distance and service area.

Ordinary traffic congestion or the driver’s use of an alternative route due to safety or road conditions shall not change the base service price.

3.2. Hourly Chauffeured Vehicle Service

An hourly chauffeured vehicle service is a chauffeured transportation service provided within the duration, mileage limit and vehicle class selected by the User.

If the duration or mileage included in the package is exceeded, the applicable excess usage fees displayed in the application may be charged.

3.3. Additional Services and Expenses

Amounts arising from toll bridges, motorways, tunnels, ferries, parking, additional stops, route changes, additional waiting time, excess duration or excess mileage that fall outside the basic scope of the reservation may be charged separately.

Toll road charges and similar expenses actually incurred may be added to the total amount at the end of the journey. The fact that Voyest may not charge commission on such expenses concerns the internal financial relationship between Voyest and the driver or carrier and does not affect the User’s payment obligation.

4. Voyest’s Role

Voyest provides a technological reservation infrastructure for receiving and planning ride requests, matching requests with suitable drivers and vehicles, managing reservations, processing payments and providing customer support.

Services may be performed by:

  • Vehicles and drivers operated directly by the Company operating Voyest,
  • Carriers and fleet operators holding the necessary authorization certificates,
  • Authorized drivers providing services in compliance with applicable legislation.

As a Group A travel agency, the Company organizes the marketing and sale of reservations. Transportation services are performed using vehicles holding the permits and authorization documents required under applicable legislation.

Where operationally necessary, the assigned driver or vehicle may be changed. The replacement vehicle should be in the same class selected by the User or be reasonably equivalent.

5. Membership and User Account

The User confirms that all information provided to Voyest is accurate, current and complete.

The User account is personal to the User. The User is responsible for preventing unauthorized persons from using the account or verification codes.

Voyest may request verification of telephone, identity, passport, payment instrument or other account information for security purposes or to comply with legal requirements.

Where inaccurate, incomplete or misleading information is provided, Voyest may:

  • Reject the reservation request,
  • Cancel the reservation,
  • Temporarily or permanently restrict the User account,
  • Fulfil any notification or reporting obligations arising under applicable legislation.

6. Passenger Information

Where the User will not personally participate in the journey, the User must accurately provide the first Passenger’s name, surname, telephone number and any required identity information.

Depending on applicable legislation and service requirements, the name, surname, Turkish identity number, foreign identity number or passport number of other passengers may also be requested.

Where the User enters information on behalf of another person, the User confirms that:

  • The User is authorized to share such information,
  • The information is accurate,
  • The relevant person has been informed about Voyest’s personal data notices.

The User shall be responsible where the service cannot be performed due to missing or inaccurate Passenger information.

7. Ride Request and Confirmation of the Reservation

The User’s submission of a ride request through the application does not, by itself, constitute a confirmed reservation.

Once the request has been submitted, the process of searching for a suitable driver and vehicle begins.

The reservation shall only be confirmed after:

  • A suitable driver or authorized carrier accepts the request,
  • The required payment or pre-authorization transaction is successfully completed,
  • Confirmation of the reservation is communicated to the User.

Even where a driver has accepted the request, the reservation may not be confirmed if the required payment verification or pre-authorization transaction is unsuccessful.

If no suitable driver is found, the request shall be closed and no service fee shall be charged to the User.

8. Reservation Information

For a confirmed reservation, the User may be shown the following information, where applicable:

  • Reservation number,
  • Type of service,
  • Start date and time,
  • Pickup and destination locations,
  • Vehicle class,
  • Base service price,
  • Pre-authorization amount,
  • Cancellation and no-show conditions,
  • Driver and vehicle information,
  • Passenger information.

Driver and vehicle details may be changed due to operational necessity. The User shall be informed of such changes as soon as reasonably possible.

9. Date and Time

The date and time of the journey shall be determined according to the local time at the pickup location.

For journeys performed in Türkiye, Türkiye time, also referred to as Istanbul time, in the UTC+3 time zone shall apply.

Where the User creates a reservation while located in another country, the User is responsible for checking the pickup location time displayed on the screen.

10. Obligations of the User and Passenger

The User and Passenger must:

  • Check the reservation information,
  • Be present at the pickup location at the specified date and time,
  • Follow the driver’s safety instructions,
  • Select a vehicle suitable for the number of passengers and amount of luggage,
  • Carry all required identification and travel documents,
  • Refrain from smoking in the vehicle,
  • Refrain from damaging the vehicle,
  • Refrain from carrying prohibited items or substances,
  • Behave appropriately toward the driver, other passengers and third parties.

Where the number of passengers or amount of luggage exceeds the safe capacity of the selected vehicle, the driver may refuse to commence the service.

The service may be terminated where a Passenger endangers safety, insults, threatens or attacks another person, or engages in conduct contrary to applicable legislation. The User may be charged for the portion of the service already provided and for any resulting damage.

11. Driver Waiting Time and No-Show

When the driver arrives at the pickup location, the driver may select “I’m Here” or an equivalent status through the application.

A 15-minute waiting period begins following this notification.

If the Passenger does not arrive within this period, the User or Passenger cannot be contacted, or the Passenger refuses to use the service, the reservation may be closed as a no-show.

The financial consequences of a no-show are regulated under the Service Delivery, Cancellation and Refund Conditions.

12. Luggage and Personal Belongings

The User must select a vehicle class suitable for the number of passengers and amount of luggage.

Luggage that was not disclosed at the time of reservation, prevents safe transportation or exceeds the vehicle’s capacity may not be accepted into the vehicle.

The Passenger must check personal belongings before leaving the vehicle. Voyest shall provide reasonable assistance in returning any belongings that are found to their owner.

13. Force Majeure and Extraordinary Circumstances

Natural disasters, war, acts of terrorism, civil unrest, decisions of public authorities, road closures, extraordinary weather conditions, epidemics, strikes, widespread communication or payment system outages and similar events beyond the reasonable control of the parties may constitute force majeure.

Where the service cannot be performed or is delayed due to such circumstances, the User shall be informed as soon as reasonably possible.

Ordinary traffic congestion shall not, by itself, mean that the service has been performed defectively.

14. Personal Data

Personal data belonging to the User and Passenger may be processed for the purposes of:

  • Creating the membership account,
  • Verifying identity,
  • Making reservations and performing transportation services,
  • Enabling communication between the driver and Passenger,
  • Processing payments and issuing invoices,
  • Ensuring security and providing customer support,
  • Making legally required notifications to authorized public institutions.

Further details concerning the processing of personal data are set out in the Personal Data Protection Law Information Notice and Privacy Policy published by Voyest.

The sending of commercial electronic communications is not a mandatory consequence of membership or acceptance of this Agreement. The User’s commercial communication preferences shall be obtained and managed separately in accordance with applicable legislation.

15. Invoicing

Invoices may be issued electronically based on the information provided by the User.

A User requesting a corporate invoice must correctly provide the company trade name, tax office, tax number, billing address and, where applicable, electronic invoice information.

16. Intellectual Property

All intellectual property rights relating to the Voyest brand, website, mobile applications, software, designs, databases, texts and other content belong to Voyest or the relevant rights holders.

The User may use Voyest systems only for personal purposes or for authorized corporate use.

17. Liability

Voyest shall be liable for direct losses caused by its own fault and for which it is responsible under applicable legislation.

To the extent that Voyest is not at fault, Voyest shall not be responsible for consequences arising from:

  • The User providing inaccurate or incomplete information,
  • The Passenger not being ready at the pickup time,
  • The absence of required travel documents,
  • Actions or decisions of public authorities,
  • Force majeure events,
  • Banking or payment service provider systems,
  • The User’s device or internet connection.

This provision shall not eliminate any mandatory rights granted to consumers under applicable legislation.

Providing the reservation number, journey date and a description of the request will enable the matter to be reviewed more efficiently.

19. Resolution of Disputes

Users who qualify as consumers may apply to Consumer Arbitration Committees or Consumer Courts within the applicable monetary limits prescribed by law.

For commercial disputes that do not qualify as consumer transactions, the Istanbul Anatolian Courts and Enforcement Offices shall have jurisdiction.

20. Amendments and Entry into Force

Voyest may amend this Agreement prospectively due to changes in legislation or updates to the service model.

Provisions amended after a reservation has been confirmed shall not apply to that reservation where they would operate to the detriment of the User.

This Agreement shall enter into force when electronically accepted by the User during the membership or reservation process.

The date, time, route, price, vehicle class and other reservation-specific conditions form an integral part of this Agreement.
